Additionally, the bondholder EVO FUND has the right to early redemption, requiring only at least one working day's notice to the company.

Fundraising Purpose: Further Increase Bitcoin Holdings

Metaplanet clearly stated that this fundraising will be used to purchase Bitcoin. This strategy is consistent with the company's announcement on January 28, 2025, when it issued the 13th to 17th series of stock acquisition rights with adjustable exercise prices and suspension clauses, and signed a stock acquisition rights purchase agreement with investors. Metaplanet expects that the funds for bond redemption will primarily come from the exercise of stock acquisition rights.

Flexible Early Redemption Mechanism

When the cumulative funds obtained by the company through the exercise of stock acquisition rights reach 50 million yen (the face value of a single bond) or its multiples, the company has the right to choose to redeem bonds of equivalent value in advance.
