VENU Holdings (NYSE American: VENU) announced a public offering of common stock and/or preferred stock warrants, as well as warrants for the purchase of common stock. The company plans to use the proceeds for the development of the Sunset McKinney and Sunset Broken Arrow projects, repayment of approximately 435 million KRW in promissory notes issued in connection with the recent acquisition of Central, Colorado real estate, working capital, and general corporate purposes. The offering will proceed depending on market conditions, and a preliminary prospectus will be filed with the U.S. Securities and Exchange Commission (SEC).
VENU's Ford's Amphitheatre in Colorado Springs was named Billboard magazine's top music venue in the Midwest for 2026. Since its opening in August 2024, it has been praised for its luxurious penthouse suites, owners' club, fine dining options, and views of Parkes Peak. Its operating partner is AEG Presents Rocky Mountains. VENU is also advancing multiple developments in Texas and Oklahoma, with plans to include state-of-the-art features such as canopy roofs and LED technology.
In addition, VENU has completed an independent third-party valuation of its nationwide real estate portfolio. The valuation covered operating, developing, and planned venues and entertainment parks, with a total assessed value of approximately KRW 1.785 trillion. This valuation is based on the completed value of each project and is an unaudited estimate, which may differ from figures under Generally Accepted Accounting Principles (GAAP).
